Terms of Service

Legal Entity: These Terms of Service constitute a legally binding agreement between you and M87 LLC, a Wyoming limited liability company ("M87," "we," "us," or "our"), operating the Alprina security scanning platform.

1. Acceptance of Terms

By accessing, installing, or using the Alprina platform, software, application programming interface (API), command-line interface (CLI), or any related services (collectively, "the Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), as well as our Privacy Policy and Acceptable Use Policy, which are incorporated herein by reference.

If you are entering into these Terms on behalf of a company, organization, or other legal entity ("Organization"), you represent and warrant that you have the authority to bind such Organization to these Terms, and all references to "you" shall refer to both you individually and the Organization.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms. We recommend reviewing these Terms periodically.

2. Description of Service

Alprina provides AI-powered security scanning services for software code ("the Service"). The Service includes but is not limited to:

  • Command-line interface (CLI) for code scanning
  • AI-powered vulnerability detection
  • Security report generation
  • Mitigation recommendations
  • Policy management tools

The Service may be subject to limitations including but not limited to scan frequency, file size limits, and feature availability based on your subscription tier.

3. Account Terms

You must provide accurate and complete registration information when you create an account. You are responsible for:

  • Maintaining the security of your account and API keys
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorized use
  • Ensuring your use complies with applicable laws

You may not use the Service for any illegal or unauthorized purpose. You must not, in the use of the Service, violate any laws in your jurisdiction.

4. Payment Terms

For paid subscriptions, you agree to pay all fees associated with your chosen plan. Payment terms include:

  • Fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • Failure to pay may result in service suspension or termination
  • Price changes will be communicated at least 30 days in advance

A valid payment method is required for paid subscriptions. You authorize us to charge your payment method for the applicable fees.

5. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. We take data security seriously:

  • Code scanned locally is never transmitted unless you explicitly opt-in to remote scanning
  • Remote scans use end-to-end encryption
  • We do not store your source code permanently
  • Scan results are stored securely and are accessible only to you
  • We collect anonymized usage statistics to improve the Service

6. Service Modifications

We reserve the right at any time to modify or discontinue the Service (or any part thereof) with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

We will make reasonable efforts to notify users of significant changes to the Service in advance.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Alprina and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain all rights to the code you scan. We claim no ownership over your source code or scan results.

8. Limitation of Liability

The Service is provided "as is" and "as available" without any warranties of any kind. We do not warrant that:

  • The Service will be uninterrupted or error-free
  • All security vulnerabilities will be detected
  • Results will be 100% accurate
  • The Service will meet your specific requirements

To the maximum extent permitted by law, Alprina shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Service.

9. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

  • Breach of these Terms of Service
  • Non-payment of fees
  • Illegal or fraudulent use
  • At your request

Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive.

10. Governing Law and Dispute Resolution

Governing Law

These Terms and any disputes arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of law principles.

Arbitration Agreement

Except for disputes seeking injunctive relief or involving intellectual property rights, you and M87 LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

  • The arbitration shall be conducted in Wyoming or remotely via videoconference
  • The arbitrator's decision shall be final and binding
  • Judgment on the award may be entered in any court of competent jurisdiction
  • Each party shall bear its own costs and attorneys' fees unless awarded by the arbitrator

Class Action Waiver

YOU AND M87 LLC AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Jurisdiction

To the extent arbitration does not apply, you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Wyoming.

11. Indemnification

You agree to indemnify, defend, and hold harmless M87 LLC, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your violation of any applicable laws or regulations
  • Your content or data submitted to the Service
  • Any unauthorized access to the Service using your account credentials

This indemnification obligation survives termination of these Terms and your use of the Service.

12. Export Compliance

The Service may be subject to export control and trade sanctions laws and regulations of the United States and other countries ("Export Laws"). You represent and warrant that you are not:

  • Located in, or a resident or national of, any country subject to U.S. government embargo or designated as a "terrorist supporting" country
  • On any U.S. government list of prohibited or restricted parties
  • Subject to any restrictions under applicable Export Laws

You agree not to use the Service in violation of any Export Laws and will comply with all applicable export control regulations.

13. Miscellaneous

Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices or agreements published on the Service, constitute the entire agreement between you and M87 LLC regarding the Service.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

Force Majeure

M87 LLC shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

Government Use

If you are a U.S. government entity, the Service is a "Commercial Item" as defined in 48 C.F.R. §2.101, and is licensed in accordance with these Terms.
